Terms and Conditions for Medicine Delivery
This Terms and conditions outlines governing the partnership between Vivify Healthcare ("the Sales Partner") and the Partner Pharmacy ("the Pharmacy") for facilitating the sale and delivery of medicines. By entering into Agreement, both parties agree to the following terms:
1. Role of the Sales Partner
Vivify Healthcare acts solely as a sales partner, facilitating client acquisition, order placement, and communication on behalf of the Pharmacy. All medicines are sold directly by the Pharmacy to the end clients, with Vivify Healthcare providing necessary sales support.
2. Disclosure of Purchase Price
The Pharmacy agrees to provide Vivify Healthcare with accurate details of the purchase price for all medicines, ensuring transparency in transactions and commission calculations.
3. Packaging and Delivery Responsibility
Packaging: The Pharmacy shall handle all packaging of medicines, ensuring compliance with industry standards and regulatory requirements. Packaging should ensure the integrity and safety of the medicines.
Delivery: The Pharmacy is solely responsible for the timely and accurate delivery of medicines to clients.
4. Prohibition on Direct Client Engagement
The Pharmacy shall not directly approach or communicate with clients introduced by Vivify Healthcare, except for resolving delivery-related or product-specific issues. Any breach of this clause may result in penalties or termination of this Agreement.
5. Commission Structure
Vivify Healthcare shall receive commissions based on sales facilitated by the company. Commissions will be calculated as per mutually agreed terms and paid on a monthly basis.
6. Billing and Settlement
Client Billing: The Pharmacy is responsible for issuing original bills to clients for all purchases.
Settlement with Vivify Healthcare: The Pharmacy shall reconcile commissions and related charges with Vivify Healthcare every 15 days.
7. Timely Fulfillment of Orders
The Pharmacy must adhere to strict timelines for order processing and delivery. Repeated delays without prior notification will be considered a breach of this Agreement.
8. Returns and Refunds
The Pharmacy agrees to process returns and refunds in accordance with applicable laws and client satisfaction policies.
Vivify Healthcare will assist in coordinating returns but holds no liability for the resolution of such issues.
9. Expiry or Near-Expiry Medicines
The Pharmacy shall ensure that no expired or near-expiry medicines are sold or delivered to clients. Instances of non-compliance will result in penalties and potential termination of this Agreement.
10. Liability for Client Disputes
All disputes arising with clients regarding product quality, packaging, or delivery will be the sole responsibility of the Pharmacy. Vivify Healthcare may facilitate dispute resolution but shall not be held liable.
11. Compliance with Laws
The Pharmacy shall ensure full compliance with all applicable laws and regulations governing the sale, packaging, and delivery of medicines.
12. Termination Clause
This Agreement may be terminated by either party with a [specify notice period, e.g., 30 days] written notice. Breach of any terms herein, including repeated failure to meet delivery standards or quality expectations, may result in immediate termination.
13. Governing Law and Dispute Resolution
This Agreement shall be governed by the laws of Visakhapatnam, Andhra Pradesh, India . Any disputes shall first be resolved through mutual discussion and, if unresolved, referred to arbitration as per Applicable Arbitration Rules.
This agreement clearly defines Vivify Healthcare's role as a sales facilitator, while the Pharmacy retains responsibility for sales, delivery, and compliance.
